BY-LAWS OF THE TOWN OF NUTLEY DEMOCRATIC CLUB
The name of this Organization shall be the Town of Nutley Democratic Club,
referred to hereinafter as the Club
MISSION
The mission of this Club shall be to support the Nutley Democratic County
Committee, Democratic candidates for office, and to promote Democratic
principles by sponsoring events and forums of interest to and in support of
Democrats.
MEMBERSHIP
Treasurer – The Treasurer will receive all money and property of the Club
and will make payments as the By-Laws prescribe and shall give an
annual report of receipts and disbursements to the Club. The Treasurer
will also make the accounts open to inspection upon request to any
member of the Club and will report as often as required the financial
condition of the club.
FINANCES
No debts shall be incurred and no continuing obligations entered into in
excess of $1,000 except upon a vote of the members present at any
official meeting of the Club upon the approval of a majority of the
members present. A meeting is official if it has been called by the
President and there is a quorum present at the meeting.
Between meetings, funds not to exceed $1,500 may be appropriated
upon a majority vote of the Officers. Any such expenditure will be subject
to review at the next meeting of the Club.
COMMITTEES
The club will have such Committees as may be created when necessary and the
members shall be appointed by the President. The President will appoint from
the members of any such Committee a Chair. The Chair of each committee shall
report the activities of the committee to the President upon request and when
practical at meetings when held.
AMENDMENTS
These By-Laws may be amended at any scheduled meeting upon a 2/3 vote of
the members of the Club present at such a meeting, provided that any proposed
amendment is submitted in writing to the Recording Secretary and mailed to
each Club member at least 20 days prior to the meeting at which the
amendment will be voted upon. A duly constituted quorum must be present at
any meeting where a proposed Amendment(s) is to be voted.
Any registered member of the Democratic Party who resides in Nutley
shall be eligible for membership.
Annual dues may be set by the Executive Board.
Members in good standing can vote at club meetings. New members
may vote 60 days after paying dues.
Prospective members can attend meetings as non-voting members.
MEETINGS
There shall be meetings of the Club at such time and place as the
President shall designate.
15 members in good standing shall constitute a quorum.
Upon concluding the terms of Club officers, there will be a reorganization
meeting held after the primary election but before the November
election.
At the above reorganization meeting there will be the election of officers.
MUNICIPAL CHAIR
The Town of Nutley Municipal Chair will be the liason between the Club and the
Essex County Democratic Party Organization.
CLUB OFFICERS
The club will have a President, Vice President, Communications Secretary
and Recording Secretary (these positions may be combined) and a
Treasurer, who will be elected for a 2 year term beginning with their
election at the biennial reorganization meeting until the next biennial
reorganization meeting. Officers may be permitted to succeed
themselves.
In the case of a vacancy for any reason during the term of the Vice
President, Recording Secretary, Corresponding Secretary, or the
Treasurer, the President may appoint a Club member to complete the
term. Alternatively, the position may remain vacant until the next biennial
meeting.
In the case of a vacancy for any reason during the term of the President,
the Municipal Chair may appoint a Club member to complete the term.
DUTIES OF THE OFFICERS
President – The President of the Club shall preside at all meetings, set
and distribute the agenda for each meeting, perform all duties as
prescribed by the By-Laws and perform other duties as ordinarily apply to
the office. The President may disburse club monies as the By-Laws allow.
Vice President – In the temporary absence of the President, it will be the
duty of the Vice President to perform the duties of the President. The
Vice President will assist the President in the performance of his/her
duties as indicated above
Communications Secretary – The Communications Secretary shall issue
notice of all meetings, conduct the correspondence of the Club with the
concurrence of the President and perform all such other duties as the ByLaws prescribe and such other duties as ordinarily apply to the office.
Recording Secretary – the Recording Secretary shall keep accurate
minutes of the meetings and proceedings of the Club and circulate such
minutes and records of proceedings to the membership. He/She will
keep a role of officers and members and will notify officers and members
of committees and new members.
